Contractor Agreement
This Subcontractor Agreement ("Agreement") is entered into as of the date of submission, by and between Talloo LLC, with a principal place of business at 1120 S Rackham Way, Ste 300, Meridian, ID 83642 ("Contractor"), and the undersigned ("Subcontractor").
Agreement Acceptance: By submitting this form, the Subcontractor agrees to the terms set forth herein and acknowledges this Agreement as legally binding, subject to the specifications provided for each project engaged.
Project Scope and Terms: For each project undertaken, the Subcontractor shall submit through the Contractor's web platform a project proposal which shall include the objectives of the project, the term of the agreement specific to the project, and detailed pricing. This proposal, upon acceptance by the Contractor, shall be considered an integral part of this Agreement for the respective project.
Payment Terms: The Contractor agrees to compensate the Subcontractor as detailed in the project proposal, subject to adjustments agreed upon by both parties for any changes in the project scope. Payment schedules shall be as agreed upon in the individual project proposal.
Insurance: The Subcontractor shall maintain, at their own expense, appropriate insurance coverage as may be required by the Contractor or by law, including but not limited to general liability, workers' compensation, and automobile liability insurance.
Indemnification: The Subcontractor shall indemnify and hold harmless the Contractor, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from the Subcontractor's acts or omissions in connection with the performance of work, except in cases of the Contractor's negligence or willful misconduct.
Confidentiality: The Subcontractor agrees to maintain the confidentiality of all proprietary information received from the Contractor and to use such information solely for the purposes of performing the work under this Agreement.
Payment Terms: Paid When Paid: Payment to the Subcontractor for services rendered under this Agreement shall be made within [insert number] days after the Contractor has received full payment from the Client for such services. This payment is contingent upon the Contractor's receipt of payment from the Client. In the event of a delay in payment from the Client, the Contractor agrees to communicate promptly with the Subcontractor regarding the status of the payment. The Contractor's obligation to pay the Subcontractor is dependent upon and subject to the receipt of payment from the Client.
Compliance with Laws: The Subcontractor is responsible for complying with all applicable laws, regulations, and codes in the performance of work, including obtaining any necessary permits and licenses.
Right to Audit: The Contractor reserves the right to audit the Subcontractor's records related to this Agreement to ensure compliance and accuracy of billing. Such records must be retained for a minimum of three years following the completion of any project under this Agreement.
Termination: This Agreement may be terminated by either party upon written notice if the other party breaches any material term or condition and fails to cure such breach within a specified period following written notice of such breach.
Independent Contractor Status: The Subcontractor is engaged as an independent contractor and is not considered an employee, partner, or agent of the Contractor.
Dispute Resolution: Disputes under this Agreement shall be resolved first through mediation and, if necessary, through binding arbitration.
Entire Agreement: This document and the project proposals accepted by the Contractor constitute the entire agreement between the parties concerning the subject matter hereof, superseding all prior agreements.
Governing Law: This Agreement shall be governed by the laws of the State of Idaho.
Acknowledgment and Signature: By submitting the web form, the Subcontractor acknowledges their acceptance of the terms of this Agreement and agrees to be bound thereby.
